ARTICLE I : NAME
The name of this organization shall be University of Chicago Business School Club of Japan ( the club).

ARTICLE II : OBJECTIVES
1. To provide a social and business medium for maintaining contact with alumni of the Graduate School of Business in Japan.
2. To provide a forum for the discussion of mutual business issues.
3. To provide assistance to the Graduate School of Business.

ARTICLE III : MEMBERS

Section 1. Membership.
All graduates of the University of Chicago Graduate School of Business and all present students of the Schools, who pay such dues and assessments as may from time to time be assessed, shall be Regular Members. The regular members have such privileges and be
subject to such conditions as the by- law may prescribe.
All graduates and all present students of the other schools of the University of Chicago, or any person or corporate that is willing to support the club and has the approval from the Representatives Meeting, shall be Associate Members, subject to the payment of the dues and assessments. Faculty members shall have honorary membership. All the members are called as the Members.

Section 2. Dues.
Annual dues and entrance fees shall be decided by the class representative meeting.

Section 3. Voting.
Each regular member shall be entitled to vote for officers at the annual meeting in person, or by mail in the event of balloting by mail.

Section 4. Quorum.
One-quarter of the members, including those represented by mail ballot, shall constitute a quorum, or if one-quarter of the members is ten or more, ten members shall constitute a quorum.

Section 5. Meetings.
Meetings shall be at such time and place and for such purposes as shall be designated by the presiding officer for the club. Annual Meeting shall be held in Tokyo around June, where the budget for the next fiscal year, the officer election and any other very important item(s) shall be subject to the approval of the majority of the meeting.

ARTICLE VI : EVENT COMMITTEES
Section 1. Event Committees.
The president shall establish the event committee from time to time for specific club events.

Section 2. Event Committee Members.
The respective event committee members shall be elected from class representatives, officers and/or other club members.

ARTICLE VII : MISCELLANEOUS PROVISIONS
Section 1. Club Activities.
Major club activities are as per described in the appendix.

Section 2. Fiscal Year.
The fiscal year of the Club shall end on the 30th day of June each year.

Section 3. Amendments.
These by-laws may be altered, amended, or repealed in whole or in part by a majority of the vote of the members at the annual meeting.

ARTICLE IV : OFFICERS
Section 1. Number and Manner of Election.
All officers must be regular members of the club. The elected officers shall be at least four in number and shall include a chairman, a president, a deputy president, a treasurer, a secretary, and directors, each to have such duties as provided for in these by-laws. The officers of the club shall be elected at the class representative meeting. Candidates for each office of the club shall be nominated by any member in good standing at the club meeting prior to election.

Section 2. President.
The president shall act as the chief executive officer and shall have general management and control of the business affairs of the club. The president shall preside over meetings of the officers and members of the club, and the president make and sign or authorize to be signed, together with one other officer, contracts and agreements in the name and on the behalf of the club, and in general, shall perform such other duties as may be necessary for the operation of the club.

Section 3. Deputy-President.
The deputy-president shall perform such duties as the president may from time to time determine and shall assume all powers and duties of the president in the event that the president shall be absent or unable to complete his term of office.

Section 4. Chairman.
The chairman shall act as senior adviser to the club, president, deputy-president and other officers and directors in order to support the club activities. The chairman shall represent the club, together with president and deputy-president, for its external activities such as the one with the whole University of Chicago alumni club, other business school alumni clubs, and any other associations in line with the objectives of the club.

Section 5. Secretary.
The secretary shall keep the minutes of all officersユ and membersユ meeting and shall have custody of the seal of the club (if a seal is adopted) and affix the same to documents when authorized to do so. The secretary shall perform all other duties usual to the office of secretary.

Section 6. Treasurer.
The treasurer shall have all the duties customary to that office. He shall collect all monies payable to the club, and shall be charged with the care and custodies of the funds of the club, and shall make all necessary disbursement from such funds. The treasurer shall keep the clubユs financial accounts and shall make entries of all receipts, balances, and disbursements. These accounts shall be open at all times to the inspection of any member. The treasurer shall be authorized to maintain accounts in the name of the club at such banking institution as shall be approved by the officers of the club.

Section 7. Directors.
The president shall nominate the directors to support the functions of the club office. The directors shall act as responsible managers for specified functions such as alumni information, public relations and publicity, or for special events of the club, or advisers to the president or other officers of the club other than directors.

Section 8. Term of Office.
The term of office of the officers shall be for two years. The initial formal term shall start in June 1996. The officers can be re-elected.

Section 9. Removal.
Any officer may be removed at any time with proper cause by a majority vote of the members at any meeting as long as a quorum is present.

ARTICLE V : Class Representatives
Section 1. Class Representatives.
The class representative (s) attend the class representatives meeting from time to time acting as board members of the club. The class representative shall be elected by majority club members of the class. The class representatives shall function as the primary communication link with the club members informing members of meetings, gatherings and other events.

Section 2. Class Representatives Meeting.
The class representatives meeting will be held from time to time, but at least two times in one fiscal year, to discuss and determine the important subjects of the club, which the chairman will decide, including the budget and other financial issues, and the election of the officers. Any voting, if necessary, will be subject to the majority support from the attending class representatives and the club officers.

The respective event committee members shall be elcted from class representative officers and/or other members.

Appendix : Club Activities
1. Annual meeting
The club holds an annual meeting around June.
2. Monthly gathering
The club holds a gathering of its members once a month.
3. Planning special events
The club plans special events such as the lectures by professors of the University of Chicago.
4. Compiling a member directory
The club compiles and updates its members directory.
5. Publishing a newsletter
The club publishes a newsletter and distributes it to members at least once a year.
6. Miscellaneous Activities
The club commits itself to other activities such as:

Support those who have interest in applying to the University of Chicago
Support the students of the University of Chicago Graduate School of Business to find internship opportunities or permanent jobs in Japan
Public relations in Japan for the University of Chicago Graduate School of Business
